Commercial & Service Framework

Terms & Conditions

Standard commercial and operational terms governing heavy machinery spare parts supply, workshop overhauls, and equipment rental contracts.

Effective Date: January 1, 2024 • Last Updated: September 2026

These Terms and Conditions constitute a legally binding commercial agreement between Ashwani Trading Co. ("ATC", "Company", "we", "us") and the customer, contractor, firm, or individual ("Client", "Buyer", "Hirer", "you") engaging in the purchase of spare parts, workshop services, or machinery rentals.

1. Nature of Business & Quotations

Ashwani Trading Co. operates as an authorized distributor, stockist, engineering workshop, and equipment rental contractor for heavy earthmoving and construction machinery across Jammu, Kashmir, and Ladakh.

  • All formal quotations, price estimates, and proforma invoices issued verbally or in writing remain valid for 7 calendar days from issuance, unless otherwise explicitly noted, owing to raw material and manufacturer price changes.
  • GST (Goods and Services Tax) is levied strictly as per prevailing government tax slabs (generally 18% or 28% for automotive/industrial machinery parts and lubricants). All prices quoted exclude GST unless stated as "inclusive of GST".

2. Spare Parts Sourcing & Model Verification

Heavy machinery components have intricate technical specifications. To ensure exact fitment:

  • The Buyer is responsible for furnishing accurate machine make, model number, serial number, and where possible, the OEM part number or sample dimensions.
  • Ashwani Trading Co. provides genuine OEM parts as well as certified heavy-duty aftermarket equivalents clearly differentiated on quotations and invoices.
  • Manufacturer warranty on genuine spare parts is subject strictly to the OEM warranty policy and does not cover operational mishandling, dry running of hydraulic pumps, oil contamination, or incorrect fitment by third-party mechanics.

3. Dispatch, Transit & Delivery Logistics

  • Delivery Terms: Unless stated as "Free Delivery", all dispatches are made Ex-Yard / Ex-Warehouse Narwal, Jammu. Freight and handling charges to remote project sites (Srinagar, Leh, Kargil, Udhampur, etc.) are borne by the Buyer.
  • Transit Risk: Goods are packaged securely according to industrial transport guidelines. The risk passes to the carrier/transporter upon handover at our Jammu dispatch counter. Transit insurance can be arranged on prior written request.
  • Handover Inspection: The recipient must inspect physical parcels upon delivery and report any visible packaging damage or shortage to the transporter and our helpline within 24 hours.

4. Workshop Servicing & Mechanical Overhauls

  • Scope of Work: Components (engines, hydraulic pumps, transmissions, control valves, rock breakers) received at our Narwal workshop undergo preliminary diagnostic testing. A formal job estimate is provided before tear-down or major machining begins.
  • Testing & Approval: Rebuilt hydraulic pumps and cylinders are pressure and leak-tested on calibrated test rigs before delivery.
  • Service Warranty: Workmanship on workshop rebuilds carries a standard 30-to-90 day performance warranty (as detailed on the specific job card), contingent upon using recommended filtration and clean hydraulic fluid.

5. Heavy Equipment Rental Framework

Rental of excavators, backhoe loaders, rollers, hydra cranes, and compressors is governed by our Machinery Rental Master Agreement:

  • Hire Modes: Equipment can be engaged on Dry Hire (machine only; Hirer provides fuel and operator) or Wet Hire (machine with certified ATC operator).
  • Logbook & Meter Readings: Daily working hours are recorded via machine hour meter (hour logbook) signed by both the Hirer's site supervisor and the machine operator. Standard single-shift billing is based on 8 working hours per day.
  • Mobilization & Demobilization: Low-bed trailer freight charges for mobilizing machinery to the site and returning to Jammu yard upon contract completion are billed to the Hirer unless incorporated into long-term commercial terms.
  • Site Safety & Ground Conditions: Hirer must provide safe working conditions, stable access roads, and legal site permits. ATC reserves the right to suspend machine operation if site conditions pose imminent rollover or avalanche hazard.

6. Payment Terms & Commercial Settlements

  • Retail counter sales and emergency spare parts dispatches are executed against 100% payment via NEFT, RTGS, UPI, or verified banking channels prior to release of goods.
  • Approved institutional contractors with approved credit arrangements must clear invoices within the stipulated credit timeline (strictly 15 to 30 days). Overdue balances accrue commercial interest at 18% per annum until settled in full.
  • Machinery rentals require a mobilization advance and refundable security deposit before equipment deployment.

7. Force Majeure & Route Closures

Neither party shall be held liable for delivery delays or downtime caused by events beyond reasonable control, including extreme weather events, snow blockades, Zojila / Banihal pass closures, highway landslides on NH-44, natural disasters, strikes, civil unrest, or statutory transit restrictions.

8. Governing Law & Exclusive Jurisdiction

All commercial transactions, service contracts, and rental agreements entered into with Ashwani Trading Co. shall be governed by and construed in accordance with the laws of the Republic of India. Any legal dispute, arbitration, or proceeding arising out of or in connection with our services shall be subject to the exclusive jurisdiction of the competent courts in Jammu (UT of Jammu & Kashmir).
